1. Definitions

In this Policy, the following terms have the meanings given:

  • AI Services” – Any feature, functionality or service provided by Ambassador that uses artificial intelligence, machine learning, large‑language models (LLMs), generative models, predictive models, or similar technologies, to process Inputs and produce Outputs.

  • Inputs” – Data, content, prompts or other materials supplied by Customer or its End Users to Ambassador in connection with AI Services.

  • Outputs” – Content, responses, analyses, predictions, text, images, or other materials generated by Ambassador’s AI Services in response to Inputs.

  • ThirdParty Model / Vendor” – Any AI/ML model, algorithm, or service provided by a third party (not developed in‑house by Ambassador) and integrated into Ambassador’s AI Services.

  • Sensitive Data” – Any data (or parts thereof) whose disclosure or misuse could lead to harm, including but not limited to personal data (as per privacy laws), financial data, health data, trade secrets, credentials, or non‑public proprietary business information.

  • Customer Content” – All Inputs and Outputs and any related data provided by Customer under this Policy or via AI Services.

  • Applicable Laws” – All laws, regulations, rules, and industry standards applicable to data protection, AI, privacy, intellectual property, export control, etc., in jurisdictions in which the services are provided or used.

2. Purpose and Scope

This Ambassador AI Policy (the “Policy”) governs Customer’s use of AI Services offered by i2H, Inc. dba Ambassador (“Ambassador”).  It supplements, and is incorporated by reference into, the Software‑as‑a‑Service Agreement (the “Agreement”).  This Policy applies only if Customer elects AI Services in the Order Form (or by other written agreement).

3. Customer Responsibilities

3.1 Opt‑In Requirement; Responsibility for Customer Content.  Customer must explicitly opt in for AI Services in the Order Form or in a written addendum.  Absent such election, AI Services will not be provided.  Customer is solely responsible for any Customer Content, including the accuracy, quality, appropriateness, and legality thereof.

3.2 Appropriate Inputs.  Customer shall ensure that all Inputs are lawful and that Customer has all rights necessary to supply them.  Customer shall avoid supplying Sensitive Data unless specifically permitted under the Agreement and this Policy.

3.3 Verification of Outputs.  Customer acknowledges that Outputs are probabilistic in nature; they may contain errors, bias, or otherwise be unsuitable for certain uses.  Customer is responsible for reviewing Outputs before applying them in critical, legal, financial, health‑related, safety‑sensitive, or other regulated contexts.

3.4 Prohibited Uses.  Customer shall not use AI Services (or Outputs thereof) to:

- Develop machine learning models or similar technology.

- Mislead any person that Output from the AI Services was solely human generated.

- Process personally identifiable information, including names, addresses, phone numbers, email addresses, or birth dates.

- Generate or distribute defamatory, malicious, hateful, pornographic, or otherwise unlawful content.

- Violate intellectual property, confidentiality, privacy, or other rights of third parties.

- Violate Applicable Laws or this Policy or the Agreement.

- Make decisions that have significant legal, safety, or compliance implications (e.g., medical, legal, financial) without human oversight.

- Attempt to reverse engineer, replicate, or permit competitive use of Ambassador’s models in violation of the Agreement.

4. Ambassador Responsibilities

4.1 Disclosure of Third‑Party Models.  Ambassador will identify (in Documentation or on its website) material Third‑Party Models used in providing AI Services and any limitations or known risks associated with them.

4.2 Data Use, Training, and Privacy.  Ambassador will process Customer Content in compliance with the Agreement, any Data Processing Addendum, and Applicable Laws.  Customer Content will not be used for training or improving models unless Customer explicitly agrees.  Ambassador will treat Sensitive Data with strong security and privacy safeguards.

4.3 Security Measures.  Ambassador will implement appropriate administrative, technical, and organizational measures designed to protect Customer Content, including but not limited to encryption, access control, and secure data storage/transmission.

4.4 Availability, Limitations & Performance.  Ambassador uses commercially reasonable efforts to deliver high availability and performance.  Documentation will indicate limitations (e.g. latency, accuracy, model drift) where applicable, and Ambassador does not guarantee perfect accuracy or error‑free performance.

5. Ownership and License Rights

Ambassador and its licensors exclusively own all right, title, and interest in and to the AI Services, including all associated intellectual property and proprietary rights.  Customer retains ownership of all Inputs provided.  For Outputs, Ambassador assigns or grants Customer all rights, title, and interest in Outputs, to the extent permitted by law and provided they do not infringe third‑party rights.  If Outputs include third‑party content (e.g. copyrighted material), Customer is responsible for ensuring proper licensing or permissions.

6. Monitoring, Audit, Bias & Ethical Use

6.1 Bias, Fairness, and Transparency.  Ambassador will strive to identify and mitigate bias in models, provide transparency about model limitations, and document intended and unintended risks.

6.2 Audit Rights.  Under reasonable conditions and respecting Ambassador’s proprietary rights, Customer may request information about model evaluation metrics, data processing, and security for compliance or ethical review.

7. Disclaimers & Liability

7.1 As‑Is Nature.  Customer acknowledges and agrees that the AI Services have not been fully tested.  Ambassador uses experimental technology, and any Outputs may not meet Customer’s desired use including, without limitation, that it may be inaccurate, offensive, or duplicative of content generated by AI Services for other Ambassador customers.  Customer must use discretion when relying on, publishing, distributing, or otherwise using any Outputs resulting from the use of AI Services.  AI Services (and Outputs) are provided “AS IS,” without guarantees as to fitness for a particular purpose, accuracy, completeness, reliability, or non‑infringement.

7.2 Limitation of Liability.  Ambassador’s liability for any harms resulting from use of Outputs is limited as set forth in the Agreement.  Customer agrees to indemnify Ambassador from claims arising out of Customer’s misuse of Outputs or violation of this Policy.

8. Usage Controls, Limits, and Suspension

Ambassador may impose usage limits, rate caps, quotas, token limits, or other technical constraints.  If Customer exceeds those or violates this Policy, Ambassador may suspend access to AI Services.

9. Amendments & Updates

Ambassador may update this Policy to address new regulations, model risks, or improvements.  Material changes will be communicated to Customer; continued use after notice constitutes acceptance.

10. Governing Law and Enforcement

This Policy is governed by the same governing law and jurisdiction as set forth in the SaaS Agreement.  Violation of this Policy by Customer may lead to suspension or termination of AI Services (or of the Agreement, to the extent applicable).
