1. Introduction
Welcome to getambassador.com (the "Website"), owned and operated by Ambassador Software Inc. ("Ambassador," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Website, as well as any services, features, content, or applications offered by Ambassador (collectively, the "Services").
By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website or Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In that case, "you" and "your" will refer to that entity.
2. Definitions
"Platform" means Ambassador's partnership automation software, including referral, affiliate, and partner program management tools, APIs, dashboards, and related technology.
"User" means any individual or entity that accesses the Website or uses the Services.
"Customer" means a User that has entered into a separate subscription agreement or order form with Ambassador for use of the Platform.
"Content" means all text, images, graphics, data, software, and other materials available on or through the Website.
3. Use of the Website and Services
You agree to use the Website and Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Website or Services in any way that violates any applicable federal, state, local, or international law or regulation.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, the servers on which the Website is stored, or any server, computer, or database connected to the Website.
- Use any robot, spider, scraper, or other automated means to access the Website or Services for any purpose without our express written permission.
- Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to reverse engineer, decompile, or disassemble any software or technology used to provide the Website or Services.
4. Account Registration
Certain features of the Services may require you to register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password.
Ambassador reserves the right to disable any user account at any time if, in our reasonable opinion, you have failed to comply with any provision of these Terms.
5. Subscription Services and Separate Agreements
Access to Ambassador's Platform is governed by a separate subscription agreement, order form, or master services agreement (each, a "Subscription Agreement") between the Customer and Ambassador. In the event of a conflict between these Terms and a Subscription Agreement, the Subscription Agreement will control with respect to the Customer's use of the Platform.
These Terms apply to all Users of the Website, including visitors who do not have a Subscription Agreement.
6. Intellectual Property Rights
The Website, its entire contents, features, and functionality (including all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Ambassador, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The Ambassador name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ambassador or its affiliates. You must not use such marks without the prior written permission of Ambassador.
7. Privacy and Data Protection
Your use of the Website and Services is also governed by our Data Processing Addendum ("DPA"), available at getambassador.com/dpa. The DPA describes how we collect, use, and protect personal information. By using the Website or Services, you consent to the practices described in the DPA.
Ambassador is committed to maintaining the security and confidentiality of your data. We maintain SOC 2 compliance and adhere to applicable data privacy regulations including GDPR, CCPA, and other applicable US state data privacy laws.
8. Third-Party Services and Integrations
The Services may contain links to third-party websites, services, or integrations (including payment processors, CRM platforms, and other technology partners) that are not owned or controlled by Ambassador. Ambassador has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
Your use of third-party services is governed by those providers' own terms of service and privacy policies. Ambassador makes no warranties or representations regarding the availability, accuracy, or reliability of third-party services.
9. Disclaimers
THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER AMBASSADOR NOR ANY PERSON ASSOCIATED WITH AMBASSADOR MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE OR SERVICES.
WITHOUT LIMITING THE FOREGOING, NEITHER AMBASSADOR NOR ANYONE ASSOCIATED WITH AMBASSADOR REPRESENTS OR WARRANTS THAT THE WEBSITE OR SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE WEBSITE OR ITS SERVER ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE WEBSITE OR SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AMBASSADOR, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE OR SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
11. Indemnification
You agree to defend, indemnify, and hold harmless Ambassador, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or Services.
12. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Michigan, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Michigan. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
13. Changes to These Terms
Ambassador reserves the right to revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Website thereafter.
Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.
14. Termination
We may terminate or suspend your access to all or part of the Website or Services, without notice, for any conduct that we, in our sole discretion, believe is in violation of these Terms, any applicable law, or is harmful to the interests of another user, a third party, or Ambassador.
15. Severability
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
16. Entire Agreement
These Terms, together with any Subscription Agreement and the DPA, constitute the sole and entire agreement between you and Ambassador regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
